Exco and Committee Secretary (L5/6)

(Based at NPC Pretoria)

Reporting: Company Secretary

Provide advisory and consultative specialist support and assistance to members of the Executive Committee

(EXCO), and Exco Committees. To perform duties as Exco Secretary according to legislative and regulatory

requirements to ensure high level of Corporate Governance is maintained throughout the organisation

Key performance areas:

• Meeting administration and management (i.e. arrange meetings, prepare agendas, compile and circulate meeting

packs, draft minutes, distribute minutes, etc.) in accordance with Companies Act

• Provide advice to Exco members, individually and collectively on their duties, responsibilities and powers.

• Maintain a library of all statutory documentation and maintain a registry to ensure that all documents are filed

accurately and available when required

• Inductions of Exco members

• Drafting and updating of Exco and Committee Charters

• Exco and Committee assessments

• Research and share, new developments / case studies to improve Governance, Ethics, Exco and Executive

• Ensure the efficient management, compliance, control and reporting of the function / resources in

accordance with the stipulations of the PFMA, fraud prevention and risk management principles,

corporate governance, legislation, company policies, processes, regulations, Delegation of Authority, etc


Qualification:

• National Diploma/ Bachelor Degree (Law, Commerce, Administration, Business Administration or other relevant

field) (NQF Level 6/7)

• Possession of a CIS or Company Secretarial qualification (an added advantage)

• Computer literate (Ms Word, Excel & 1 PowerPoint)

Experience:

• 3 - 5 years' experience as Company Secretary or Assistant Company Secretary/Exco Secretary

Knowledge and understanding of:

• Companies Act ,PFMA

• King Codes on Governance

• CIPC Lodgements

• Meeting procedures

• Research and benchmarking

• Compliance Regulations

• Ethics/ Ethics Governance

• Drafting of Minutes, Charters

• Strategic process enhancement

• Project management (principles, practices,

techniques and tools)

• Organisational development, management

techniques and good business practices

• Financial Management

• Quality Management Systems (e.g. ISO

standards)

• Value Chain Management

• Risk and Compliance management

• Relevant statutes, rules and regulations
